CONSTITUTION

1    Name

1.1 The group shall be called the Kent Museums Group.

 

2    Aims

2.1 The promotion generally of all museums in the County of Kent.

 

2.2 The encouragement of the development of good professional practice within museums in Kent.

 

3    Objectives

3.1 To increase within their governing bodies the level of appreciation and importance of museums.

 

3.2 To raise public awareness of museums.

 

3.3 To formulate a development strategy for museum provision within the county.

3.4 To provide a forum for the discussion of collecting and other policies and for issues affecting museums in Kent.

 

3.5 To encourage liaison and joint working between member museums.

 

3.6 To promote the training, development and acquisition of skills by museum workers at all levels.

 

3.7 To advise and comment on museum developments in Kent.

 

4 Membership

4.1 Membership is open to anyone involved in the operation, management or government of a museum in Kent upon payment of the annual subscription, or to others at the discretion of the Committee.

 

4.2 Kent Museums Group can award Honorary Life Membership to any member who, in the opinion of the Committee, has made a significant contribution to the work of Kent Museums Group. Any such award will not confer any voting rights.

 

5 Meetings

5.1 Meetings, one of which shall be the Annual General Meeting, shall be held at least twice a year.

 

6 Officers

6.1 At the Annual General Meeting the Group shall elect from within the membership a Chairman, a Vice-Chairman, Secretary and Treasurer, together with six council members.

 

6.2 The Chairman and Vice-Chairman may be re-elected in alternate years for a two-year period but thereafter may not be elected for a period of one year.

 

6.3 The Secretary and Treasurer shall be elected annually but shall be eligible for re-election.

 

7 Council

7.1 The Council of the Group shall consist of Officers supported by not more than six members elected from within the membership for a period of not more than four years.

 

8 Categories of Membership

8.1 Membership shall be either on an individual basis or as a corporate membership.

 

8.2 Corporate membership shall entitle any member of the organisation to attend, but only one representative shall have the power to vote.

 

9 Subscriptions

9.1 Subscriptions shall be as determined from time to time at the Annual General Meeting and shall be due annually at that meeting.

 

9.2 If a subscription remains unpaid after six months from this date then membership will be deemed to have lapsed.

 

10 Sub-Committees

10.1 The Council shall have the power to create and delete sub-committees to be chaired by a Council member for specific purposes and to determine the membership of such sub-committees.

 

11 Annual General Meeting

11.1 The Annual General Meeting shall be held in the autumn to elect officers, receive the certified accounts, fix subscriptions and transact other business relating to the Group.

 

11.2 Voting will be limited to paid-up members present and a quorum of 25% of the membership shall be deemed constitutional.

 

11.3 Not less than twenty-eight days notice shall be given to members before the holding of the Annual General Meeting and the notice should include any resolutions affecting the proposed change of subscriptions or of the Constitution.

 

11.4 Nominations with the prior consent of the nominee should normally be sent in writing to the Secretary to arrive not less than five days before the Annual General Meeting but may be seconded at the Meeting.

 

12 Changes to the Constitution

12.1 Any proposal to change the Constitution must be signed by at least six paid-up members and submitted to the Secretary not less than thirty five days before the Annual General Meeting.

 

12.2 A proposal cannot be passed unless approved by 75% of those present and voting.

 

13 Special General Meeting

13.1 Any request made to the Secretary for the holding of a Special General Meeting must be supported by the signatures of at least six paid-up members.

 

14 Dissolution

14.1 In the event of the Group being dissolved, any funds remaining after the payment of all due debts and expenses shall be expended in support of museum activities within Kent.
